The Vault Private Client is a paid membership. Your card on file will be charged the monthly tier rate beginning on the date of approval. Membership fees are credited 100% toward purchases made in the same calendar month and do not roll over.

Three-month introductory trial. Your initial term runs for three full billing cycles. After that, membership continues month-to-month at the same rate unless you cancel. You can cancel any time through your account portal — no need to email or wait.

Sourcing is best-effort, not guaranteed. We commit our network and time to your stated interests, but cannot guarantee that any specific piece, size, condition, or price point will be located within any timeframe.

Sourced pieces accepted after first-refusal review are final sale. Authentication disputes must be raised within 14 days of receipt.

Your monthly fee is applied as 100% store credit toward any purchase made in the same calendar month. Credits do not roll over to subsequent months. Atelier members also receive a 5% discount on top of the credit.
First-refusal works on a two-track basis. On pieces we own outright, we hold them exclusively for you for a guaranteed window — 48 hours (Curator), 72 hours (Collector), or 96 hours (Atelier) — before releasing to general inventory. On time-sensitive sources like auctions or private offers where deadlines are externally imposed, we send priority alerts within 4 hours (Curator), 2 hours (Collector), or 1 hour (Atelier) of identification, and you respond within the window the source allows. You buy or pass — no obligation either way.
Yes. Cancel any time through your Shopify account portal — your membership won't auto-renew, and you won't be charged after your effective cancellation date. The current month's benefits remain active through the end of the billing cycle.
Yes. You can upgrade or downgrade once per billing cycle from your member portal. Changes take effect the following month.
Sourced pieces accepted after first-refusal review are final sale, with two exceptions. (1) Authentication disputes — any tier may raise a dispute in writing within 14 days of receipt; if a third-party authenticator confirms inauthenticity, you receive a full refund. (2) Condition guarantee (Collector and Atelier only) — if a piece arrives materially different from the listing description, you may request a full refund within 14 days with photographs documenting the discrepancy.
All payments are processed by Shopify Payments, a PCI-compliant provider. The Vault never stores your full card details on its own systems.

This document represents Version 1.0 of these Terms and is subject to revision. Members who enroll under Version 1.0 will be grandfathered into Version 1.0 terms for the duration of their continuous membership; any future revisions will apply only to new members or upon explicit acceptance by existing members.

These Terms and Conditions ("Terms") govern your participation in The Vault Private Client program operated by The Vault NYC HK LLC. Please read them carefully. By submitting an application, accepting an invitation, or paying any membership fee, you agree to be bound by these Terms.

1. Program Overview

The Vault Private Client ("Program") is a paid membership operated by The Vault NYC HK LLC ("The Vault," "we," "us"). The Program provides personalized luxury sourcing, first-refusal access to acquired inventory, and concierge services as defined by your selected tier. Membership is invitation-based and subject to approval following application review by the founders. By submitting an application, accepting an invitation, or paying any membership fee, you ("Member," "you") agree to be bound by these Terms.

2. Membership Tiers and Fees

Three tiers are offered: Curator ($150/month USD), Collector ($250/month USD), and Atelier ($500/month USD). Each tier carries distinct benefits as published on the Private Client page. Fees are billed monthly in U.S. dollars via the payment method on file through Shopify Payments. Pricing is exclusive of any applicable taxes, which are the responsibility of the Member.

3. Three-Month Introductory Trial

New Members are offered a three-month introductory trial period. The trial requires complete registration including contact information, sizing details, and a valid payment method on file. The trial is NOT free — full monthly fees apply during the trial period. Trial participation grants Members all benefits of their selected tier from day one. Members may cancel the trial at any time through the Shopify customer account portal or by writing to admin@shopvaultnyc.com; cancellation takes effect at the end of the current billing cycle, and no partial refunds are issued. At the conclusion of the three-month trial, membership automatically continues on a month-to-month basis at the same tier and rate unless the Member has cancelled. The Vault will provide written notice via email at least seven (7) days before the trial conclusion as a courtesy reminder.

4. Fee Credit Policy

Monthly membership fees are credited 100% toward purchases made through The Vault during the same calendar month in which the fee is paid. Credits do not roll over to subsequent months. Atelier-tier Members receive an additional 5% discount on all purchases, applied at checkout. Credits have no cash value, are non-transferable, are not redeemable for cash refunds, and expire if unused within the billing month in which they were issued.

5. First-Refusal Access

The Vault sources from a mix of direct-purchase channels (pieces The Vault owns outright) and time-sensitive channels (auctions, private offers, and other sources with externally-imposed deadlines). First-refusal access operates on a two-track basis:

(a) Direct-purchase pieces. When The Vault acquires a piece matching a Member's stated profile and owns it outright, the piece is held exclusively for that Member for a guaranteed window: 48 hours for Curator, 72 hours for Collector, 96 hours for Atelier. Hold windows commence upon Member notification (delivered via email, SMS, or WhatsApp per stated preference) and end at the stated interval. After the window closes, the piece may be released to general inventory at The Vault's discretion. Members may decline any piece without obligation.

(b) Time-sensitive sources. Where pieces are subject to externally-imposed deadlines (including but not limited to auctions, private-seller offers, wholesale allocations, and exclusive negotiations), The Vault commits to priority alerts on a best-effort basis: Curator within 4 hours of identification, Collector within 2 hours, Atelier within 1 hour. Members acknowledge that response windows on time-sensitive pieces are bound by source timing and may be substantially shorter than the direct-purchase hold windows. The Vault makes no guarantee of any specific response window where the source itself imposes a deadline. Members are encouraged to designate trusted decision-making contacts and respond promptly to time-sensitive alerts.

6. Sourcing Requests

Sourcing services (passive for Curator, active for Collector, concierge for Atelier) represent a best-effort commitment, not a guarantee of acquisition. The Vault does not guarantee that any specific piece, size, condition, or price point will be sourced within any timeframe. Members acknowledge that luxury inventory is inherently variable and subject to market conditions, supplier availability, authentication outcomes, and other factors outside The Vault's control.

7. Authentication

All inventory passes through a triple-authentication chain: (i) vendor-side authentication performed by the original supplier prior to The Vault's purchase; (ii) in-house authentication by The Vault upon receipt at the New York warehouse; and (iii) source documentation (purchase records, vendor authentication notes, provenance information) made available to Members on request. The Vault has not knowingly sold a counterfeit piece in its operating history. Atelier-tier Members may request the full source documentation chain for any sourced piece. Collector-tier Members receive condition guarantees as defined in Section 8. The Vault reserves the right to engage third-party authentication services (Real Authentication, Authenticate4U, or equivalent) at its discretion or at a Member's request, with costs to be discussed in advance.

8. Purchases, Returns, and Disputes

Pieces purchased through the Program are subject to The Vault's standard sale terms. Sourced pieces accepted by the Member after first-refusal review are considered final sale, except as provided below.

Authentication disputes: Any Member may raise an authentication dispute in writing within fourteen (14) days of receipt. The Vault will engage a mutually agreed third-party authenticator at its expense; if the piece is determined to be inauthentic, a full refund will be issued and shipping costs reimbursed.

Condition guarantee (Collector and Atelier tiers): If a sourced piece arrives in condition materially different from the listing description — defined as undisclosed damage, defects, alterations, or wear that would have reasonably altered the Member's purchase decision — the Member may request a full refund within fourteen (14) days of receipt. The Member must provide photographs documenting the discrepancy. Refunds under this clause include original shipping costs but exclude return shipping, which is the Member's responsibility unless The Vault agrees otherwise. The condition guarantee does not apply to Curator-tier pieces, vintage wear consistent with the piece's era as represented, or condition characteristics explicitly disclosed in the listing.

9. Cancellation

Members may cancel monthly membership at any time by providing written notice to admin@shopvaultnyc.com or through their Shopify account portal. Cancellation takes effect at the conclusion of the current billing cycle. No partial refunds are issued for unused portions of paid months. Cancellation during the introductory trial must be received before the trial end date to prevent automatic continuation.

10. Tier Changes

Members may upgrade or downgrade tier once per billing cycle through the Member portal or by written request. Upgrades take effect immediately and are prorated against the current billing cycle. Downgrades take effect at the start of the following billing cycle.

11. Termination by The Vault

The Vault reserves the right to suspend or terminate any membership at its sole discretion, including (without limitation) for non-payment, abusive conduct toward staff, fraudulent activity, repeated failure to honor accepted purchases, or behavior inconsistent with the Program's standards. Upon termination, prepaid fees for the current billing month may be refunded on a prorated basis at The Vault's discretion.

12. Pricing and Benefit Changes

The Vault reserves the right to modify tier pricing or benefits with at least thirty (30) days' written notice to Members. Continued Program participation following the effective date of changes constitutes acceptance. Members who do not wish to accept changes may cancel during the notice period without penalty.

13. Communications Consent

By enrolling, Member consents to receive Program-related communications via email, SMS, and/or WhatsApp per stated preferences. This includes piece notifications, sourcing updates, and account-related messages. Members may update channel preferences or opt out of non-essential communications at any time. Standard message and data rates may apply for SMS.

14. Privacy and Data Handling

Member information — including contact details, sizing, brand preferences, payment information, and purchase history — is held in confidence and used solely for Program operation. The Vault does not sell or share Member data with third parties for marketing purposes. Payment processing occurs via PCI-compliant providers (Shopify Payments). Members may request a copy of their data or its deletion (subject to legal retention requirements) by writing to admin@shopvaultnyc.com.

15. Intellectual Property

All Vault branding, photography, descriptions, and editorial content remain the property of The Vault NYC HK LLC. Members are granted a limited, non-transferable license to access Program content for personal use only. Reproduction, distribution, or commercial use without written consent is prohibited.

16. Limitation of Liability

To the maximum extent permitted by law, The Vault's total liability in connection with the Program is limited to the total membership fees paid by the Member in the three (3) months preceding any claim. The Vault is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost opportunity, arising from or related to the Program.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising from or related to the Program will be resolved exclusively in state or federal courts located in New York County, New York. The parties waive any objection to venue or jurisdiction in such courts.

18. Modifications to These Terms

The Vault may update these Terms with thirty (30) days' written notice to Members. The most current version will be posted on the Private Client page. Continued Program participation following the effective date of updated Terms constitutes acceptance.

19. Entire Agreement

These Terms, together with The Vault's general Terms of Service and Privacy Policy as published on shopvaultnyc.com, constitute the entire agreement between Member and The Vault concerning the Program and supersede all prior agreements, representations, and understandings.
